PartyA:(hereinaftercalledPartyA甲方：（以下简称甲方）ZIKISNigeriaEnterprises

PartyB:(hereinaftercalledPartyB乙方：（以下简称乙方）NSInternationalConstructionNIGFZE
WHEREAS,PartyAdesirestoofferthecarrentalanddrivingservicetoPartyB;THEREFORE,inconsiderationofthemutualpromisesandconventscontainedherein,thetwopartiesreachthefollowingagreement.Duringthetermoftheagreement,theownershipofthesaidvehicleshallbelongtoPartyAandthedriversdesignatedshallbeemployeesofPartyAwhilePartyBownstherighttousethevehicleanddriverhired.
经双方友好协商，甲方向乙方提供车辆租赁及司机驾驶服务。双方在平等合作的基础上，特制定本合同。司机的隶属关系在甲方，乙方对所租赁的车辆和司机拥有使用权。
One.RentalRates一、租车标的
1.ItisrequiredbyPartyBthatPartyAshallprovide4×4pick-ups(VehicleCategorywiththedesignateddrivers.Themonthlyrentalchargesshallbeonthebasisofcalendarmonth.
应乙方的要求，甲方向乙方提供所需4驱皮卡，并指派专职司机驾驶，月租车费以自然月计算。

MonthlyRentalCharges/percar:450000Naira/month,forovernightonesnecessarilyusedforCivilandSecuritydepartment,itwillincrease3000Nairapernight/percar（ifany）additionalfee.
月租费/每辆车：450000奈拉/月,对于土建和安全部门夜班有需要加班的车辆，每晚每车(如果有另增夜班费用3000奈拉。

2.Thedriversdailyworktime:From6：30AMto7:30PM.Fornightworktimeitisfrom7:30PMto8:00AM.司机日工作时间从早上6:30分至晚上7:30分,晚班工作时间为晚上7:30分至第二天早上8:00。
OvertimeWork（willnotbecalculatedwith1hour,over1hourwillbecalculated）:

300Naira/hour.加班超时计费（加班时间在1小时之内，不计费，超过1小时开始计费）：300奈拉/小时。
Two.Payment
二、费用支付方式
TherentalfeeforeachmonthshallbepaidbyPartyBtoPartyAinchequeorbanktransferwithalumppaymentattheendofeachmonth.Theovertimecharges（ifany）shallbesettledeverymonthalso.乙方在每月月末支付当月租金给甲方，支付方式以支票或银行划帐形式一次性向甲方支付租费，司机加班费（如果有）也每月一并结算。
PartyBonlypays80%ofthemonthlypaymenttoPartyA,theremaining20%asaperformancebond,PartyBcollectsperformancebondfromPartyAfor3consecutivemonths.
乙方每月仅支付80%的应付款，预留20%作为履约保证金。乙方向甲方收取连续3个月的保证金。

Three.TheResponsibilitiesoftheTwoParties三、双方责任
aResponsibilitiesofPartyA:甲方责任：
1.Ensurethegoodtechnicalperformanceofthevehiclesandincompliancewiththetrafficregulations.
保证车辆的各项技术性能处于良好状态，并符合交通法规的规定。
2.Providetheregularmaintenanceofthevehiclesandmakethevehicleslooktidyandclean.Theexpensesforthemaintenance,servicesaswellasthesalaryofthedriversshallbebornebyPartyA.
车辆进行日常维修保养，保持车辆内外整洁。并承担车辆维修、保养费用以及司机工资。
3.ThevehicledamageinsuranceandthirdpartyliabilityinsuranceshallbebornebyPartyA.
承担车辆损失险及第三者责任险。
4.Providethenecessarytraining,MedicalExaminationReportandsafetyeducationtothedriverstoensuretheexcellentdrivingservice，andthevehicleanddrivingserviceshallbeavailableonrequest.
提供司机必要业务和安全学习以及所有司机的体检报告，确保优良的驾驶服务，及时供车、出车。
5.IncasethatPartyBisunsatisfiedwiththeserviceofthedriver,PartyAshallreplacethedriverunconditionally.PartyAshouldensurethatthereplaceddriver

possesscompetentdrivingskills,ifthereplacementstillcannotmeettherequirementsofPartyB,andthencauseeconomiclossestoPartyB,PartyAshouldfullycompensatetoPartyB.
乙方对甲方提供的司机服务有异议时，甲方应无条件更换司机。甲方需确保更换的司机的驾驶技能，如仍不能满足乙方要求，给乙方造成经济损失，甲方应全额赔偿。
6.IntheeventofanyaccidentcausedbythedriversofPartyA,PartyAshalldealwiththeaccidentsinaccordancewiththetrafficregulations;Atthesametime,bearthelosscausedbythedrivertoPartyB.whenthevehicleisbeingrepaired,anothervehiclewiththeequivalentlevelshallbeprovidedtoPartyBforfree.
若甲方司机发生行车事故，由甲方处理，按交通法规执行，同时，承担对乙方造成的损失；且在修车期间免费为乙方提供同档次的替代车辆。
7.IfthedriverofPartyAislateduringworkinghours,PartyBwillcharge1000Naira/eachtime,andsendthedebitnotetoPartyA.WithoutpermissionfromPartyB,driversofPartyAarenotallowedtodriveout(includingtofillingstationbyhimselfatanytime,ifanyviolationoccurred,PartyBwillcharge10,000naira/eachtime,thespecificcostdeductionwillbehandledattheendofthemonthsettlement.若甲方司机在上班时间迟到，乙方将扣款1000奈拉/每次，并发扣款单给甲方。甲方司机未经允许，不得把车私自开出，如有违反，乙方将扣款10000奈拉/每次，具体费用扣除将在月底结算时处理。
8.ThedriversofPartyAshouldsavethefuel,ifPartyBdiscoverstheactivitysuchastheftofthedrivers;PartyBwillfine50000naira/eachtimetoPartyAaspunishment.
甲方司机应节约使用燃油，如发现偷窃行为，乙方将按50000奈拉/每次对甲方进行处罚。

bResponsibilitiesofPartyB:乙方责任：
1.Theuseofthevehiclesshallcomplywiththelawsandregulations.Intheeventofanyviolation,thelegalresponsibilitiesshallbeassumedbyPartyB.
乙方使用租赁车辆必须符合法律、法规规定，如违反使用所造成的法律责任由乙方承担。
2.Thevehiclesshallbeusedaccordingtotheirperformanceandcapacity.Itisprohibitedtousethevehicleforthetransportationinconsistentwiththepurposeofthevehicle.IfPartyBdisobeystheruleandcausedamagetovehicleorleadtoanyaccident,theexpensesincurredshallbebornebyPartyB.按车辆的性能用车，不得任意承载与车辆用途不相符的运输任务。如乙方违背用车规定而造成车辆损坏或事故，乙方应承担相关费用。
3.PartyBshallnotassignthevehicleleasedwithouttheconsentofPartyAorusefor
