8.RepresentationsandWarranties.BothPartiesrepresentthattheyarefullyauthorizedtoenterintothisAgreement.TheperformanceandobligationsofeitherPartywillnotviolateorinfringeupontherightsofanythird-partyorviolateanyotheragreementbetweentheParties,individually,andanyotherperson,organization,orbusinessoranylaworgovernmentalregulation.9.Severability.IntheeventanyprovisionofthisAgreementisdeemedinvalidorunenforceable,inwholeorinpart,thatpartshallbeseveredfromtheremainderoftheAgreementandallotherprovisionsshouldcontinueinfullforceandeffectasvalidandenforceable.10.Waiver.Thefailurebyeitherpartytoexerciseanyright,powerorprivilegeunderthetermsofthisAgreementwillnotbeconstruedasawaiverofanysubsequentorfurtherexerciseofthatright,powerorprivilegeortheexerciseofanyotherright,powerorprivilege.11.LegalFees.Intheeventofadisputeresultinginlegalaction,thesuccessfulpartywillbeentitledtoitslegalfees,including,butnotlimitedtoitsattorneys’fees,collectionfeesandthelike.12.LegalandBindingAgreement.ThisAgreementislegalandbindingbetweenthePartiesasstatedabove.ThisAgreementmaybeenteredintoandislegalandbindingbothintheUnitedStatesandthroughoutEurope.ThePartieseachrepresentthattheyhavetheauthoritytoenterintothisAgreement.13.GoverningLawandJurisdiction.ThePartiesagreethatthisAgreementshallbegovernedbytheStateand/orCountryinwhichbothPartiesreside/dobusiness.IntheeventthatthePartiesreside/dobusinessindifferentStatesand/orCountries,thisAgreementshallbegovernedby_________law.14.EntireAgreement.ThePartiesacknowledgeandagreethatthisAgreementrepresentstheentireagreementbetweentheParties.IntheeventthatthePartiesdesiretochange,add,orotherwisemodifyanyterms,theyshalldosoinwritingtobesignedbybothparties.
