根据《中华人民共和国劳动法》、《中华人民共和国劳动合同法》等法律、法规、规章的规定,在平等自愿,协商一致的基础上,同意订立本劳动合同,共同遵守本合同所列条款。

The Parties, intending to be bound hereby, agree to enter into this Employment Contract on the basis of equality, free will and mutual consultation pursuant to the Labor Law of the People’s Republic of China “PRC”, the Employment Contract Law of the PRC and other laws, regulations and rules.

第一条 劳动合同类型及期限

Article 1 Type and Term of the Employment Contract

一. 劳动合同类型及期限按下列第 1 项确定。

The type and term of the Employment Contract shall be determined as set forth in Item __1___below:

1. 固定期限:自 日起至 日止。

Fixed Term: From _ __ to __ 0__.

2. 无固定期限: 起至法定的解除或终止合同的条件出现时止。

Open-ended: From _______ to the date when a statutory obligation or agreement to terminate the contract arises.

3. 以完成一定工作为期限: 终止。

Project-based: From _____ to the expiration of the term.

二. 本合同约定试用期,试用期自 起至 止。

第二条 工作内容、工作地点及要求

Article 2 Job Description, Workplace Location and Work Requirements

一. 甲方聘用乙方从事 工作。

Party B shall engage in the job of ______ .

二. 工作地点: ,根据甲方工作需要,乙方同意甲方可变更乙方工作地点。

The workplace is ____, which can be changed base on Party A’s business requirements. Party B agrees with changing workplace by Party A.

三.乙方应积极遵守公司所有规章制度,按质、按量、按时完成其本职工作。

Party B shall fulfill his job in a high-quality, quantitative and time-efficient manner and abide by all the company rules.

第三条 工作时间和休息休假

Article 3 Working Hours, Rest and Leave Entitlements

一. 工作时间按下列第 1 项确定:

The working hours shall be determined as set forth in Item ___ 1 below:

1. 实行标准工时制。乙方每日工作时间不超过8小时,每周工作时间不超过40小时,每周至少休息一天。

The normal working hour system shall be implemented. Party B shall work no more than 8 hours a day, and 40 hours a week, and shall have at least one day’s rest each week.

2. 实行经劳动保障行政部门批准实行的不定时工作制。

A non-fixed working hour system shall be implemented with the necessary approval from the relevant labor administration authorities.

3. 综合计算工时工作制,即经劳动保障部门审批,乙方所在岗位实行综合计算工时工作制。

Cumulative working hour’s system approved by the labor and social security department and the Calculation period is ____.

二. 甲方由于生产经营需要可以延长乙方正常工作日的工作时间及要求乙方休息日加班,因工作能力或效力导致的加班属于正常工作时间。

Due to its operational needs, Party may extend Party B’s working hours on weekdays and work overtime on weekends. Work overtime due to personal working ability or efficiency is considered as normal working hour.

第四条 劳动报酬及支付方式与时间

Article 4 Working Remuneration, Payment Method and Date of Payment

一、甲方每月 日以货币的形式足额支付乙方上月税前工资。如遇节假日则相应顺延。

Party A shall pay pretax salary of last month to Party B in currency on the_______ of every month, In case of holiday is extended accordingly.

二、乙方月劳动报酬为基本工资 元,绩效工资及其他补助津贴按公司相关薪酬管理制度执行。

The monthly remuneration for Party B shall be RMB_ . Performance pay and allowance is implemented according to related remuneration management system.

三、乙方工资的增减,奖金、津贴、补贴的发放,以及特殊情况下的工资支付等,均按相关法律法规及甲方依法制定的规章制度执行。甲方支付给乙方的工资不得低于当地最低工资标准。

Party B’s wage increase/decrease, bonuses, allowances and subsidies, as well as the wage payment in special circumstances, shall be governed by relevant laws and regulations and Party A’s internal rules and policies. The wages paid by Party A to Party B shall not be less than the minimum wage standard stipulated by the people’s government where the employer is located.

四、乙方在享受法定休假日以及依法参加社会活动期间,甲方应当依法支付工资。

During any period when Party B participates in any social activities which citizens are requested to perform for national or public interests, during statutory working hours, Party A shall pay wages to Party B according to the law.

五、甲乙双方对工资的其它约定:

Other agreements between Party A and Party B:

1. 甲方可根据实际经营状况、内部规章制度,对乙方的考核结果以及乙方的工作年限、奖罚记录、岗位变化等,调整乙方的工资水平,但不可低于国家规定的最低工资标准;

Party A is entitle to adjust salary of Party B if there are changes on actual operating condition, working period, reward and disciplinary record or position change of Party B. But will not below the national minimum wage standards.

2. 因公司业务及行业需要可能超时工作并且周六、周日需正常工作,员工每月工资总额中已包含了超时工作及周六、周日的加班工资,法定节假日加班工资的计算以基本工资为计算依据。

Work overtime as need. Monthly employee payroll contain overtime wages, including Saturday and Sunday. Public holiday overtime pay is calculated on the basis of basic wage.

第五条 社会保险及福利待遇

Article 5 Social Insurance and Welfare

一. 乙双方必须依法按国家及省、市有关规定参加社会保险,按月缴纳社会保险费。乙方缴纳部分,由甲方在乙方工资中代为扣缴。

Party a and Party B must participate in social insurance and pay social insurance premiums on a monthly basis in accordance with the national and provincial law. The amount payable by Party B shall be withheld by Party B from the Party A’s monthly wages.

二. 乙方患病或非因工负伤,甲方应按国家和省、市的有关规定给予乙方享受医疗期和医疗期待遇。

Where Party B has contracted an illness or sustained a non-work-related injury, Party A should give Party B medical treatment and medical leave accordance with National or provincial regulation.

三. 乙方患职业病、因工负伤的,甲方按《职业病防治法》、《工伤保险条例》等有关法律法规的规定执行。

Where Party B has contracted an occupational diseases or industrial injury, party A have to implement related provisions according to the "occupation disease prevention law", industrial injury insurance regulations" and other relevant laws and regulations.

四. 乙方依法享有法定节假日、年休假、婚假、产假、丧假等假期。

Party B shall have public holiday, Annual leave, Marriage leave, Maternity leave and Compassionate leave according to the National Law.

第六条 劳动保护、劳动条件和职业危害防护

Article 6 Labor Protection, Working Conditions and Protections against Occupational Hazards

一. 甲乙双方都必须严格执行国家有关安全生产、劳动保护、职业卫生等规定。有职业危害的工种应在合同约定中告知,甲方应为乙方的生产工作提供符合规定的劳动保护设施、劳动防护用品及其他劳动保护条件。乙方应严格遵守各项安全操作规程。甲方必须自觉执行国家有关女职工劳动保护和未成年工特殊保护规定。

The Parties must strictly implement relevant national occupational safety, labor protection and occupational sanitation procedures and standards. Any job exposed to occupational hazards shall be specified in the contract, and Party A shall provide Party B with work safety and hygiene facilities, labor protection equipment and other necessary conditions for Party B’s work activities. Party B must strictly comply with the work disciplines, operating procedures and safety rules set by Party A. Party A must conscientiously carry out relevant provisions formulated by the state for the protection of female and under-aged employees.

七条 规章制度

Article 7 Regulation and Rules

一. 甲方依法制定规章制度,应当告知乙方。

Party A draw the regulation and rules up accordance to law and shall inform Party B.

二. 乙方应遵守国家和省、市有关法律法规和甲方依法制定的规章制度,按时完成工作任务,提高职业技能,遵守安全操作规程和职业道德。

Party B shall obey the related Law and the Regulation which is draw up by Party A; to complete task on time, comply with the safety rules and occupation moral.

三. 乙方自觉遵守国家和省、市计划生育的有关规定。

Party B shall comply with the Family Planning regulation accordance to the Law.

第八条 保密条款

Article 8 Confidential Agreement

签订本合同之前甲乙双方已签署《保密协议》,乙方承诺同意并严格遵守保密协议中约定的义务。

This contract will be signed after the Confidential Agreementby both Parties, Party B promises to agree and strictly abide by the obligations agreed in Confidential Agreement.

第九条 合同的履行和变更

Article 9 Performance & Alternation of Contract

一. 甲方应按照约定为乙方提供适当的工作场所、劳动条件和工作岗位,并按时向乙方支付劳动报酬。乙方应当认真履行自己的劳动职责,并亲自完成本合同约定的工作任务。

Party A shall furnish Party B with proper working place, labor conditions and position, and shall also pay the remuneration to Party B on time, conforming to the provisions herein. Party B shall fulfill his responsibilities herein in due diligence.

二. 甲乙双方经协商一致,可以变更合同。变更合同应采用书面形式。变更后的合同文本双方各执一份。

Both of Party A and Party B reach a consensus on alteration of contract, which shall be in written form. Both parties shall keep a copy of revised contract.

第十条 合同解除和终止

Article 10 Dissolution and Termination of Contract

一. 甲乙双方协商一致,可以解除合同。

Where Party A and Party B reach a consensus, the contract can be terminated.

二. 乙方提前三十日以书面形式通知甲方,可以解除劳动合同;乙方试用期内提前三日通知甲方,可以解除劳动合同。

To terminate the contract, Party B shall inform Party A in written notice in a thirty days advance. Party B in three days advance notice to Party A in probation period.

三、乙方在工作期间需严格遵守中华人民共和国的法律法规、行政规章,因乙方违法律法规、行政规章而受到法律的制裁及行政处罚,甲方有权解除本合同而无需支付任何补偿及赔偿。

During work period, Party B is required to strictly comply with the Law and regulations, administrative rules of P.R.C. In case Party B get legal penalties and administrative penalties due to violation of laws and regulations. Party A is entitled to rescind the contract without any compensation.

四、合同解除和终止的其他条件和补偿按《劳动合同法》的有关规定执行。

To terminate the contract, Party B shall inform Party A in written notice in a thirty days advance. Party B in three days advance notice to Party A in probation period.

第十一条 合同解除和终止手续

Article 11 Contract Rescission and Termination Procedures

一. 甲乙双方解除和终止本合同的,乙方应按双方约定,办理工作交接等手续。甲方应依法向乙方出具书面证明,并在十五日内为乙方办理档案和社会保险关系转移手续。

When terminate contract by both parties, Party B shall handover all the work to Party A according to the agreement. Party A shall issue a certification documents to Party B, and transfer files and social insurance relationship within fifteen days.

第十二条 争议处理

Article 12 Dispute Settlement

一. 甲乙双方协商解决。

Any dispute shall be solved by negotiation.

二. 甲乙双方协商不成,可由争议的一方申请劳动仲裁。

In case of unsuccessful negotiation, the contending party may apply for labor arbitration.

第十三条 双方需要约定的其他事项

Article 13 Other matters considered necessary by the Parties

一. 甲方可根据工作需要及乙方的身体状况、工作能力和表现根据甲方的规章制度升、降乙方的职务,乙方愿意服从甲方的安排;入职前,甲方已安排专职翻译向乙方详细翻译并解释了甲方的《员工手册》、《薪酬管理制度等规章制度,乙方已熟知、理解、并同意自觉遵守甲方的相关规章制度。

Where Party A is able to promote or demote Party B base on the needs of work, physical condition, ability and performance, which is according to the Company regulations. Party B is willing to accept Part A’s arrangement. Pre-commencement, Party A have arranged full-time translator to translate and explain the details of regulations and rules of Employee HandbookandRemuneration Rule.Party B should familiar with, understand, and agree to abide to Party A’s relevant regulation and rules.

第十四条 其他

Article 14 Miscellaneous

一. 本合同在履行中发生争议,任何一方均可向企业劳动争议调解委员会申请调解,也可向劳动争议仲裁委员会申请仲裁。对仲裁裁决不服的,可以向人民法院起诉。

If any dispute arises under this Contract, either Party may file an application for mediation with the enterprise labor dispute mediation committee, or file an application for arbitration with the labor dispute arbitration committee. If either party disagrees with the arbitration ruling, the party may file a proceeding in a People’s Court with competent jurisdiction.

二. 本合同未尽事项,按国家有关法律法规执行。

Matters that are not provided in this Contract will be dealt with in accordance with existing laws, rules and regulations.

三. 本合同条款如与今后国家颁布的法律法规相抵触时,按国家新的法律法规执行。

Should any provision of this Contract be in violation of the PRC laws or regulations, the new laws and regulations shall govern.

四. 本合同依法订立,双方签字盖章后生效,涂改或未经书面授权代签无效,双方必须严格履行。

This Contract is entered into in accordance with the law and shall be effective upon execution by the Parties. Any alter or without written authorization is invalid. The Parties must strictly perform this Contract.

五. 本合同一式两份,甲乙双方各执一份。

This Contract is produced in two original copies. Each party shall keep one original copy.

六. 本合同适用中华人民共和国法律,并以中文版本为准。

This contract is apply to Law of P.R.C, and the Chinese version shall prevail.
