Because of the decline of the petroleum industry and the economic collapse of the Seller, the seller couldn’t fulfilled the obligations in accordance with the contract. After amicable negotiation,an agreement is reached by both parties as follows: 供需双方于2014年11月5日签订的XXX合同，合同编号为：XXX，约定由供方向需方供应X套XXX，金额USDXXX。现由于石油行业形势欠佳，需方公司经济状况下滑，无法按照合同履行相关合同义务，导致合同无法继续履行。供需双方在友好协商的基础上，自愿达成以下协议： Item 1: In view of the long-term good relations of cooperation between both parties, the seller can cosidering & understanding the difficulty of the buyer. Through friendly negotiation, both parties agree to thterminate the contart signed in November 05, 2014, PO No.: XXXXXXX. 第一条：鉴于供需双方之前有良好的长期合作关系，供方考虑到需方切实的难处，供需双方通过友好协商，双方一致同意解除2014年11月5日签订的合同编号为：XXXXXXXXXXX的合同。 Item 2: If produces correlation expenses and so on, the expense undertakes together by contract both sides.
